("Conduit," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Description of Services

Conduit provides a utility intelligence platform for property management companies. The platform aggregates utility billing data, provides analytics and reporting tools, supports financial controls including budgeting, accrual generation, and bill validation, and offers energy procurement management features. Access to specific features may vary based on your subscription plan.

3. Account Registration

To access the platform, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

5. Intellectual Property

The Services, including all content, features, and functionality, are owned by Conduit Labs Inc. and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during the term of your subscription.

6. Your Data

You retain ownership of all data you submit to the platform, including building information, utility account data, and financial configurations ("Your Data"). You grant Conduit a limited license to use Your Data solely to provide and improve the Services. We will not use Your Data for purposes unrelated to the Services without your consent.

7. Utility Data

The platform connects to utility providers to retrieve billing and usage data on your behalf. You represent that you have the authority to authorize this access for the utility accounts you connect. Conduit is not responsible for the accuracy of data provided by utility companies. The platform presents utility data as received and applies analytical processing to generate insights, but does not guarantee the accuracy of underlying utility company data.

8. Fees and Payment

Fees for the Services are set forth in your subscription agreement or order form. All fees are non-refundable except as expressly stated in your agreement. We reserve the right to change pricing with 30 days' notice prior to your next renewal period.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. Conduit does not warrant that the Services will be uninterrupted, error-free, or secure. Financial data, projections, accruals, and analytics generated by the platform are provided for informational purposes and should be verified by your finance team before use in official financial reporting.

10. Limitation of Liability

To the maximum extent permitted by law, Conduit Labs Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Our total liability for any claims arising under these Terms shall not exceed the fees paid by you to Conduit in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Conduit Labs Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms. You may terminate your account by contacting us. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will survive.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York.

14. Changes to Terms

We may modify these Terms at any time by posting the revised version on this page. Material changes will be communicated to registered users via email. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
